ABOUT THE ROLE
Job summary and areas of responsibility:
Legal
In cooperation with the Regional Legal team and with the assistance of external counsels if required, lead the Legal Department in the abovementioned legal entities for all legal matters, in the following areas:
- Corporate governance: Handling of corporate secretarial duties, by coordinating with finance managers, external corporate secretary or law firms as well as BTL Corporate Legal Department and the Group Securities Department.
- Contract review: Reviewing, negotiating, and drafting commercial contracts (freight forwarding and logistics services, agency, lease, tenders, etc.).
- Legal disputes: Handle all litigation and claims involving law firms and recovery agents. Oversee all other claims. Develop and manage relationships with external lawyers.
- General legal advice: Identifying, evaluating and managing legal risks in business decisions and operations by keeping abreast of relevant regulations. Giving timely legal advice as requested by the BUs.
- Training: To equip the BUs with basic legal knowledge, and to explain the processes, considerations, and the rationale.
The legal software Galexy should be timely updated with relevant information and documents for all the above matters.
Compliance
In line with the Regional Compliance Manager’s guidelines and local regulatory requirements, responsible for the implementation of compliance-related policies and procedures in the following areas:
- Supplier Due Diligence: Ensure the due diligence process is completed for critical vendors, e.g. intermediaries and top vendors. Ensure the reporting is fully completed.
- Anti-Bribery and Anti-Corruption: organizing monthly committees, giving training, reviewing risk mapping, implementing action plans, performing third-party screenings, reviewing codes of conduct commitments, compliance questionnaires, and compliance clauses (if this person is legal), as well as investigating whistleblowing alerts if need be.
- Trade and International Sanctions: assisting internal stakeholders to clear shipments in compliance with applicable embargoes and sectoral sanctions, whether on a spot basis or via the Transport Management System compliance module, train internal stakeholders on International Sanctions and Export Control, monitor local sanctions environment.
- Privacy and Data Protection: acting as Data Protection Officer, when relevant, to implement the internal procedures, reviewing and analyzing relevant documents in conjunction with the Information Security Officers.
- Anti-competitive practices and cartels: keep abreast of local developments, organize awareness sessions, and give advice as necessary.
- Implementation and monitoring of all other compliance-related policies, e.g. conflict of interest, director due diligence, and client due diligence.
Insurance
In cooperation with the Regional Insurance and Claims Officer, oversee the following insurance-related matters:
- Manage the local Paralegal (to be employed), who will assist with all legal, insurance, compliance, and claims.
- Claims handling, analysis, advice, and declaration to the group insurance broker
- Advise BUs on insurance-related matters
- Renewal and evaluation of local insurance policies
- Assist in the development of the sale of marine cargo insurance
Requirements
- Bachelor's Law Degree from a recognized university or similar relevant qualification
- Minimum 4 years of experience as in-house legal counsel or in private practice
- Preferably with experience in the freight forwarding and logistics industries
- General knowledge in corporate governance, contract negotiation, regulatory compliance, dispute resolution, insurance, and (pre)litigation
- Excellent level of English (both oral & written) with strong interpersonal communication skills
- Meticulous with good analytical & problem-solving skills
- Resourceful and curious (with an inquisitive mind)
- Independent and fast learner (with minimum supervision)
- Ability to adapt to a fast-paced working environment, with excellent organization skills and ability to multi-task
- Work with integrity and responsibility
